Welcome to CIXON GmbH. These Terms of Service govern your access to and use of the HubSpot CMS themes provided by CIXON GmbH and the related services.
1. Introduction
1.1. These Terms of Service apply to all HubSpot CMS themes developed and provided by CIXON GmbH, currently CIXON Pro, CIXON Lite and Recruiting ATS & HR (individually and collectively "the Theme"). Themes are provided either for a fee or free of charge; where these Terms distinguish between the two, this is stated explicitly.
1.2. By accessing, downloading, or using the Theme, you agree to be bound by these Terms of Service and our Privacy Policy.
1.3. If you do not agree to these Terms of Service, you are not authorized to access, download, or use the Theme.
2. License Grant
2.1. CIXON GmbH grants you a non-exclusive, non-transferable license to use the Theme for the purpose of building and operating websites on the HubSpot platform.
2.2. The license covers one HubSpot account. Within that account you may use the Theme for any number of websites. Use in further HubSpot accounts requires a further license; for themes provided free of charge, you obtain that license by installing the Theme from the HubSpot Template Marketplace in the respective account.
2.3. You may adapt, extend and rebrand the Theme within your own account; this is its intended use. You may not distribute, publish, sell or sublicense the Theme, or versions derived from it, outside your own account.
3. Intellectual Property
3.1. The Theme, including all code, design elements, and associated intellectual property, is owned by CIXON GmbH and is protected by copyright, trademark, and other intellectual property laws.
3.2. You may not remove, alter, or obscure any copyright, trademark, or other proprietary rights notices embedded within the Theme.
3.3. You may not distribute, resell, or sublicense the Theme without the prior written consent of CIXON GmbH.
4. Support and Updates
4.1. For themes purchased for a fee, CIXON GmbH provides basic support, including bug fixes and minor updates, for a period of 4 weeks from the date of purchase. For themes provided free of charge, CIXON GmbH provides email support without a time limit; we typically respond within two business days, but no specific response or resolution time is guaranteed.
4.2. CIXON GmbH may, at its sole discretion, release updates, enhancements, or new versions of the Theme. You will be eligible for these updates with a valid license.
4.3. Support requests should be submitted through email via mail@cixon.de.
5. Termination
5.1. CIXON GmbH may terminate your license to use the Theme at any time if you breach these Terms of Service.
5.2. Upon termination, you must immediately cease using the Theme and destroy all copies in your possession.
6. Disclaimer of Warranties
6.1. The Theme is provided "as is" and without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
6.2. CIXON GmbH does not warrant that the Theme will be error-free or that its use will be uninterrupted.
7. Limitation of Liability
7.1. In no event shall CIXON GmbH be liable for any indirect, special, incidental, or consequential damages arising out of or in connection with the use or inability to use the Theme.
7.2. The total liability of CIXON GmbH shall not exceed the price paid for the Theme.
7.3. The limitations in 7.1 and 7.2 do not apply in cases of intent or gross negligence, in cases of injury to life, body or health, or where liability is mandatory by law, in particular under the German Product Liability Act.
8. Governing Law and Jurisdiction
8.1. These Terms of Service shall be governed by and construed in accordance with the laws of Germany.
8.2. Any disputes arising out of or in connection with these Terms of Service shall be resolved by the courts of Potsdam, Germany.
9. Changes to the Terms of Service
9.1. CIXON GmbH reserves the right to modify these Terms of Service at any time, without prior notice.
9.2. Your continued use of the Theme after any changes to the Terms of Service constitutes your acceptance of the updated terms.
